TERMS OF SERVICE

The terms governing our AI engineering services, automation solutions, and client engagements.

1. Services Overview

NextLine Solutions Private Limited ("NextLine", "we", "us", or "our") is an AI-first engineering studio providing software development services and intelligent solutions. Our services include:

AI Product Development & LLM Engineering (Claude, GPT, open-source models)
AI Agents, Chatbots & Copilots
Automation Pipelines & Workflow Orchestration (n8n, webhooks, integrations)
RAG Pipelines & Document Intelligence (vector databases, semantic search)
Machine Learning & Predictive Analytics
Full-Stack Web Development (Next.js, React, Node.js, TypeScript)
Cross-Platform Mobile Apps (Flutter, React Native)
Cloud Infrastructure & DevOps
UI/UX Design & Design Systems

Each engagement may have additional terms specific to its scope and deliverables.

2. Acceptance of Terms

By accessing our website (nextlinesolutions.com), engaging our services, or using any of our products, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should discontinue use immediately.

These terms apply to all visitors, users, clients, and any other parties who access or use our services.

3. Client Engagements & Project Terms

All client projects follow our five-step process: Discover, Prototype, Engineer, Test, and Deploy. Specific project terms, including scope, timeline, deliverables, and payment schedules, are defined in individual project proposals or Statements of Work (SOW) signed by both parties.

Fixed Price Projects: Scope and cost are agreed upon before development begins. Changes to scope may result in additional charges.
Time & Materials Projects: Work is billed based on actual hours spent, with regular reporting and transparency.
AI & Automation Projects: AI model integrations, automation workflows, and intelligent systems are scoped with clear success criteria and performance benchmarks.
Prototyping: We provide rapid AI prototypes with real models during the Prototype phase to validate feasibility before full investment.
Testing: All deliverables go through rigorous QA, edge-case testing, and performance validation before deployment.

4. AI-Specific Terms

Given the nature of our AI-first services, the following additional terms apply:

AI Model Integration

AI capabilities we integrate (LLMs, ML models, AI agents) rely on third-party AI providers and are subject to their availability and terms
We do not guarantee specific AI model outputs, as language models and ML systems produce probabilistic results
We engineer guardrails, validation layers, and fallback mechanisms to ensure reliable AI behavior in production

Data Usage for AI

Client data provided for AI projects (training data, knowledge bases, documents) is used exclusively for that client's engagement
We do not use client data to train models for other clients or for our own purposes
Data sent to third-party AI providers (Anthropic, OpenAI) is governed by those providers' data processing terms

Automation & Workflows

Automated systems we build (n8n workflows, AI agents, email automation) operate according to the specifications agreed upon during scoping
We implement rate limiting, error handling, and monitoring for all automated systems
Clients are responsible for reviewing and approving automated outreach or communication before activation

5. Intellectual Property

**Client Projects**: Upon full payment, all custom code, designs, AI configurations, automation workflows, and deliverables created specifically for a client project are transferred to the client. We retain the right to use general knowledge, techniques, and non-proprietary tools developed during the engagement.

**AI Models & Prompts**: Custom prompt engineering, system prompts, and AI configurations created for a client are owned by the client upon full payment. General prompt engineering techniques and patterns remain our intellectual property.

**Open Source**: Where our work incorporates open-source components, such components remain subject to their original open-source licenses.

6. Payment Terms

Payment terms are defined in each project's SOW or proposal
Invoices are typically issued at project milestones aligned with our five-step process
Late payments may result in project suspension until outstanding balances are resolved
All prices are exclusive of applicable taxes unless stated otherwise
For AI projects with ongoing API costs (LLM usage, cloud compute), the client is responsible for their own API provider accounts and associated costs unless otherwise agreed

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes but is not limited to:

Business strategies and competitive intelligence
Technical architecture, source code, and AI configurations
Training data, knowledge bases, and business data provided for AI integration
API keys, credentials, and system access details
User data and customer information

This obligation survives the termination of any agreement between the parties for a period of two (2) years.

8. Warranties & Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide post-launch support and monitoring as part of our service commitment.

However, given the nature of AI and software systems:

AI model outputs are probabilistic and may vary — we engineer for reliability but cannot guarantee deterministic results from language models
Third-party AI providers may update or deprecate models, which may require adjustments to integrations
We are not liable for issues arising from third-party services, APIs, or platforms (including AI providers, cloud platforms, and automation tools) that are integrated into our solutions
Automation systems operate based on agreed specifications — edge cases outside the defined scope may require additional engineering

9. Limitation of Liability

To the maximum extent permitted by applicable law, NextLine Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim.

This limitation applies to all causes of action, including but not limited to AI model behavior, automation workflow errors, and third-party service disruptions.

10. Termination

Either party may terminate a project engagement with 30 days' written notice. Upon termination:

The client is responsible for payment for all work completed up to the termination date
All deliverables completed and paid for will be transferred to the client, including AI configurations, automation workflows, and source code
Access credentials and API keys created for the project will be transferred or revoked as appropriate
Work in progress may be delivered at our discretion upon payment of associated costs

11. Governing Law

These terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Pakistan.

12. Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes become effective upon posting to our website. Continued use of our services after changes are posted constitutes acceptance of the revised terms.

For active client engagements, material changes to terms will be communicated directly.
